10.Objektif Kursus (OK)1. To develop students understanding, knowledge and skills on the legal
principles governing a company.
2. To exposed the students to the laws governing capital and financing of a company.
3. To allows the students to gain an understanding on the management and administration with particular emphasis on directors.
11.Hasil Pembelajaran
Kursus (HPK)On completion of this unit, a student shall be able to:-HPK 1 describe the legal nature of a limited company, distinguish a limited company from sole trader and partnership and identify the various types of companies.HPK 2 explain promoters and pre-incorporation contracts and interpret the rules of a companys constitution.HPK 3 solve issues governing duties of directors and evaluate the role, duties and obligations of auditorsHPK 4 apply the procedures governing meetings.HPK 5 describe the rules and procedures for winding up.

13.Strategi P&P dan PenilaianA mixture of teacher-centred and student-centred. The strategy for assessment is continuous assessment.
14.SinopsisThis subject is designed to develop students understanding, knowledge and skills on the legal principles governing a company. The subject begins with an explanation on the corporate form. The subject then describes formation of companies and the constitution of a company. The students will be exposed to the laws governing capital and financing of a company. The subject also allows the students to gain an understanding on the management and administration with particular emphasis on directors. The subject will then examine the rules governing company meetings. The majority rule and minority protection require assessment in light of shareholder activism. Emphasis will also be centered on the rules governing winding up.
